1. Acceptance of Terms

By accessing or using the website, secure cloud infrastructure, applied machine learning platforms, or consulting services (collectively, the "Services") provided by Meshesha Solutions LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company, government agency, or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, do not use the Services.

2. Description of Services

Meshesha Solutions LLC provides advanced AI/ML research and development, secure agentic workflows, cloud-native infrastructure deployment, and technical consulting, primarily tailored for regulated, public-sector, and defense-industrial clients. The specific scope of Services provided to you will be governed by separate service level agreements (SLAs), statements of work (SOWs), or government contracts.

Note: In the event of a conflict between these Terms and a specific SOW or government contract, the terms of the SOW or contract shall prevail.

3. User Responsibilities and Acceptable Use

You are responsible for your use of the Services and must comply with all applicable local, state, national, and international laws, treaties, and regulations. You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable federal regulations, including export control laws (e.g., ITAR, EAR).
  • Attempt to probe, scan, or test the vulnerability of any Meshesha Solutions system or network, or breach any security or authentication measures, unless explicitly authorized in writing.
  • Reverse-engineer, decompile, or disassemble any aspect of our proprietary AI models, cloud infrastructure, or software (including but not limited to Meso-AI-Gateway and custom neural networks).
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful to our infrastructure.

4. Data Security and Regulatory Compliance

Given the nature of our Services, both parties agree to adhere to strict cybersecurity and data handling standards.

  • Customer Data: You retain all rights to the data you input into our systems. However, you are strictly responsible for ensuring that you have the right to process such data and that you do not upload Classified National Security Information unless operating within a specifically designated, classified environment governed by a separate agreement.

  • Compliance: We build our infrastructure to align with frameworks such as NIST 800-171 and CMMC. However, achieving and maintaining compliance for your specific data workloads is a shared responsibility.

5. Intellectual Property Rights

The Services and their entire contents, features, and functionality — including but not limited to all underlying algorithms, AI models, Agentic Workflows, software, displays, and design — are owned by Meshesha Solutions LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

  • These Terms permit you to use the Services for your authorized business purposes only.
  • No right, title, or interest in or to the Services or any content on the Services is transferred to you.

6. Disclaimer of Warranties

YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MESHESHA SOLUTIONS LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE AI OUTPUTS WILL BE COMPLETELY ERROR-FREE OR THAT OUR SECURE INFRASTRUCTURE WILL BE IMPERVIOUS TO ALL CYBER THREATS.

7. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL MESHESHA SOLUTIONS LLC, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES. THIS INCLUDES ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, OR DATA BREACHES, EVEN IF FORESEEABLE.

8. Indemnification

You agree to defend, indemnify, and hold harmless Meshesha Solutions LLC, its affiliates, licensors, and service providers, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the Services, including, but not limited to, any data you provide that violates third-party rights or federal regulations.

9. Termination

We reserve the right, in our sole discretion, to terminate your access to all or part of the Services, with or without notice, for any reason, including, without limitation, a breach of these Terms of Service.

10. Governing Law and Jurisdiction

All matters relating to the Services and these Terms of Service, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of Washington, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms of Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Washington.

11. Entire Agreement

These Terms of Service, our Privacy Policy, and any applicable specialized contracts (e.g., SOWs, NDAs) constitute the sole and entire agreement between you and Meshesha Solutions LLC regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
